1. Acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of honestchemist.com (the "Site"), operated by The Honest Chemist LLC ("The Honest Chemist," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

The Site is intended for business and professional users. By using it, you represent that you are at least 18 years old and are authorized to act on behalf of the business or organization on whose behalf you use the Site.

2. What the Site is

The Site is an informational and lead-generation service. It provides information about European-sourced commodity chemicals and HonestBind water-based specialty resins, technical and regulatory reference data, an interactive resin-selection tool, and the ability to request quotes, product datasheets, and custom formulations. The Site does not sell products online, does not process payments, and does not display binding prices.

3. Requests, quotes, and no binding contract

Submitting a quote request, datasheet request, custom-polymer request, or other inquiry through the Site is a request for information only. It does not constitute an order, an acceptance, or a binding contract, and it does not obligate us to supply, or you to purchase, any product. Any quotation we provide is indicative and non-binding unless and until confirmed in a separate written agreement.

Any sale of products is governed exclusively by our separate General Terms and Conditions of Sale and any specific written agreement between the parties, which prevail over anything on the Site in the event of any conflict. Nothing on the Site forms part of any contract of sale.

4. Product information — no warranty; independent verification required

All product information on the Site is provided for general informational purposes only and on an "as is" basis. This includes, without limitation, product descriptions, chemical identifiers (such as CAS and HS numbers), physical properties, hazard and transport classifications (such as TSCA status, DOT hazard class, UN number, and packing group), resin specifications, compliance indications, and any output, ranking, or recommendation produced by the resin-selection tool.

We make reasonable efforts to keep this information accurate but do not warrant that it is accurate, complete, current, or fit for any particular purpose. Regulatory and hazard classifications in particular may change and can vary by jurisdiction and by specific product batch.

You are solely responsible for independently verifying all information before relying on it, including by consulting the current manufacturer safety data sheets, conducting your own testing and evaluation, and seeking appropriate technical, regulatory, and legal advice. You are responsible for determining a product's suitability, safe handling, storage, transport, and regulatory compliance for your intended use. The resin-selection tool is a convenience that suggests candidate products based on the inputs you provide; its results are not technical, formulation, regulatory, or professional advice and are not a guarantee of suitability or performance.

5. Intellectual property

The Site and its contents — including text, graphics, layouts, logos, and the trademarks and brand names "The Honest Chemist" and "HonestBind" — are owned by or licensed to The Honest Chemist and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to view and use the Site for your internal business purposes. You may not copy, reproduce, republish, scrape, harvest, frame, or create derivative works from the Site or its contents without our prior written permission.

6. Acceptable use

You agree not to: use the Site for any unlawful purpose or in violation of these Terms; attempt to gain unauthorized access to the Site, its systems, or its data; introduce malware or interfere with the Site's operation or security; use automated means (bots, scrapers, crawlers) to access or extract data from the Site except as we expressly permit; or misrepresent your identity or affiliation.

7. Third-party links

The Site may link to third-party websites or resources. We provide these links for convenience only and are not responsible for the availability, content, products, or practices of any third-party site. Your use of third-party sites is at your own risk and subject to their terms.

8. Disclaimer of warranties

To the fullest extent permitted by law, the Site is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any information on it is accurate or reliable.

9. Limitation of liability

To the fullest extent permitted by law, in no event will The Honest Chemist, its affiliates, or their respective officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site or your reliance on any information on it, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages. To the extent liability cannot be excluded, our total aggregate liability arising out of or relating to the Site will not exceed USD 100. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless The Honest Chemist and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

11. Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to their jurisdiction and venue. (This governs use of the Site only; disputes concerning any sale of products are governed by our separate General Terms and Conditions of Sale.)

12. Changes to these terms

We may update these Terms from time to time. When we do, we will post the updated Terms on this page with a new "Last updated" date. Your continued use of the Site after an update takes effect constitutes acceptance of the revised Terms.

13. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy and, for any sale of products, our General Terms and Conditions of Sale, constitute the entire agreement between you and us regarding the Site.
